MERGERS & ACQUISITIONS

A focus on acquisitions within the $10m to $100m segment for clients who have identified a target company or are looking to grow via strategic acquisition. We provide end-to-end assistance to achieve the best possible outcome:

  • Identify and evaluate potential acquisition targets, approaching on a no names basis if applicable

  • Company valuation and market comparables, including synergy value and integration risk

  • Due diligence management and analysis

  • Relationship management with the couterparty

  • Deal structuring, negotiation and financial close

CAPITAL RAISING

Specialising on funding rounds of between $3m to $50m to fuel organic growth and / or fund bolt on acquisitions. With an extensive network of investors in this segment, we are well placed to facilitate a successful capital raising: 

  • Preparation of investor presentation and due diligence materials
  • Develop, cultivate and maintain investor outreach
  • Conduct investor roadshow, including investor feedback and management
  • Management of the due diligence process
  • Deal structuring, negotiation and financial close

BUSINESS SALE / DIVESTMENT

Within a $10m to $100m sweet spot for clients looking to divest either their whole business or a strategic sell down of a division. Running a tight, efficient process and ensuring that the business is 'transaction ready' is key to maximising transaction outcome:

  • Evaluation of transaction process and best approach
  • Preparation of Information Memorandum, due diligence and other key documents
  • Identify and approach potential, qualified acquirers
  • Run a structured process, including term sheet evaluation, due diligence, deal structuring and negotiation

Paul Tontodonati

  • 13+ years of investment and advisory experience across Australia and Europe
  • Transactional experience spans Venture Capital,  Debt origination, M&A and derivative markets
  • Paul was Vice-President at EM Advisory and has worked with some of Australia’s most exciting companies, raising over A$60m in Venture Capital funds
  • Previously at Luxembourg-based DAM Capital Management,  Paul managed a €250m equity and high-yield debt portfolio
  • Paul currently holds advisory board positions at EdenExchange.com and DenverandLiely
  • Paul has a Bachelor of Commerce and Bachelor of Business Systems from Monash University, and is a CFA Charterholder

THOMAS PETRAKOS

  • 13+ years of banking and advisory experience across listed and private companies
  • Transactional experience includes Venture Capital, Private Equity, strategic acquisitions and sale transactions
  • Thomas was Vice-President at EM Advisory and has worked on numerous capital raisings and M&A transactions, including a $46m cross border acquisition for a ASX listed company
  • Director and partner of Secret Squirrel Productions, producers of flagship event, Underground Cinema
  • Thomas has a Bachelor of Commerce from Monash University and a Bachelor of Physiotherapy (honours) from the University of Melbourne
